    Managing the transfer of assets from one SIPP or SSAS pension scheme to another

    Overseeing complex joint ownership agreements involving bank finance and ring-fencing agreements

    Dealing with the sale and purchase of properties from and to SIPPs and SASSs and advising on the best way to structure these transactions.

    Transferring and registering portfolios of properties from one pension provider to another.

In Practice

  • Portfolio Transfer 
    Dealing with the variation of a portfolio of leases in order to facilitate the share sale of the tenant company.
  • Share Transfer

    Dealing with the transfer of a share in a property owned by the pension beneficiary to the pension trustees with the trustees requiring bank finance to fund the acquisition. This involved the preparation of a joint ownership agreement, a third party legal charge and a ringfencing letter.

  • Agreement of Variation
    Drafting a conditional Agreement for Variation in relation to an existing lease. The pension trustees had agreed to carry out certain property refurbishment works at their own cost and, in return, the rent was increased.
  • Grant of an Underlease
    Acting on behalf of pension trustees in relation to the grant of a long lease of the ground floor commercial premises from the freeholder to the trustees and then the grant of an underlease to the occupational tenant.
  • Assignment of a Lease
    Dealing with an estate where the pension trustee had acquired a lease of multiple units. Each unit had to be sold off separately and, due to the lease interest, an assignment of part of the lease was necessary. Through what is a complex process, all documentation was delivered accurately and efficiently. 
  • Selling to a Pension Trustee
    Navigating the sale of a commercial property with residential elements – which cannot be legally acquired by a pension trust – from a private investor to their pension trust. A new lease for the commercial interest was created and subsequently ‘sold back’ to the pension trustee who then granted a lease to the client’s operating company.
