Caroline has led a team of solicitors acting for one of the UK’s largest professional pension trustees, and has acted for numerous other professional pension trustees on a wide range of transactions within pension schemes from large portfolio acquisitions to intricate property arrangements.

  • Acquisitions and Disposals
    Dealing with the sale and purchase of properties from and to SIPPs and SASSs and advising on the best way to structure these transactions.
  • General Management
    Aiding in a variety of transactions including preparing new occupational leases, dealing with lease renewals, deeds of surrender, deeds of variation, licence for alterations, licence to underlet and assign.
  • In-Specie Transfers
    Acting for either the receiving or transferring pension scheme in the in-specie transfer of commercial property investment assets, on the occasion of the change of pension trustee.
  • Loan Backs
    Preparing loan agreements and first legal charges between SSASs and the members to be secured against tangible and intangible items.
  • Joint Purchases

    Transferring and registering portfolios of properties from one pension provider to another.

In Practice

  • Purchases with Difficult Aspects 
    Caroline has acted on a number of purchases or transfers where a former owner remains on the title but either has died or been dissolved or cannot be contacted or will not co-operate. As an example, one purchase involved three sellers, only one of which was willing and able to execute the transfer, the others being no longer in existence or unwilling to sign a transfer. Through discussions with the Land Registry and negotiations with the remaining seller, Caroline was able obtain sufficient information and documentation to enable the transfer to be registered.
  • Joint Ownership

    Caroline has dealt with numerous different types of joint ownership and can advise on the appropriate documentation for transfers of shares in such properties and stamp duty land tax consequences.

  • Mixed Use Properties
    Caroline has acted on the purchase of many mixed commercial and residential properties, setting up the structure for future ownership of parts of the building within and outside the pension scheme, and advising on the transfer of existing tenancies and arrangements for future management of the building. In one case she co-ordinated the restructuring of four headleases and underleases in one multi storey building in which four of the five storeys changed use and/or occupation on the date of the acquisition.
  • Property Sale and Sale of Business 

    Often the member’s business operates from the property held in the pension scheme. Caroline has dealt with numerous sales where the members company is selling its business and the pension scheme is the seller or landlord of the business premises. Caroline acts for the pension scheme and liaises with the lawyer acting on the business sale to co-ordinate the documentation and completion of both aspects of the sale.
